This Special Ballot is being conducted in response to the delivery of a petition signed by 4% of the members of the MVPA demanding a Special Meeting to:
- Remove the existing Board of Directors
- Elect an interim board as set forth in the ballot
What happens if a majority of members vote yes:
1. All current members of the Board of Directors (BOD), of the MVPA, will be removed from their positions effective immediately.
2. An Interim Board of Directors, consisting of the following individuals, will be elected to oversee the organization. The Interim Board will serve only until the next regular election of Directors, which will take place in the fall of 2025, in accordance with standard MVPA elections. The new Board will take office on January 1, 2026.

What happens if a majority of members vote no:
1. The Board of Directors (BOD)(4) will continue to serve until 31 December 2025 at which time the three MVPA members, elected in the current voting cycle, will be installed on the board.
2. The fourth board member will continue to serve until his term expires 31 December 2027. The two remaining vacancies will be filled, by the number of votes received, from an order of merit list. It will contain the names of the candidates ranked, by the number of votes received from highest to lowest, who were not elected.
Legal and By-laws Compliance:
These actions are being taken in accordance with the MVPA by-laws and the Missouri Not-for-Profit Corporation Statutes.
Eligible Voters
All active members of the MVPA as of 1 March 2025 may vote on this proposal.
Minimum Votes Required
36 votes must be received for this action to be effective. A simple majority of the total votes cast is needed for either proposal to pass.
Voting will be open 8 March 2025 and close on 15 April 2025
